These Terms of Service (“Terms”) govern your access to and use of the Warynx® Warehouse ERP platform (“Service”).

By accessing, registering, or using Warynx®, you agree to be legally bound by these Terms. If you do not agree, you must not use the Service.

1. Service Overview

Warynx® provides a cloud-based Warehouse ERP solution that includes inventory management, grading, billing, warehousing charge calculations, reporting, and operational management tools. The Service is provided on a subscription basis and is intended for lawful business use only.

2. Account Registration & Responsibilities

To access the Service, you must create an account. You agree to:

Provide accurate and complete information
Maintain the confidentiality of your login credentials
Restrict unauthorized access to your account
Ensure users within your organization comply with these Terms

You are fully responsible for all activities conducted under your account.

Warynx® is not liable for losses resulting from unauthorized access due to weak password practices or credential sharing.

3. Subscription, Billing & Payments

Subscriptions are billed monthly or annually as selected. All prices are exclusive of applicable GST or taxes.

Payment must be made in advance for continued access. Failure to pay may result in suspension or termination of service.

No Refund Policy

Due to the nature of digital software services, subscription fees are non-refundable once payment is processed.

Warynx® does not provide refunds for partial usage, unused periods, or early termination of subscriptions. Enterprise agreements may be governed by separate written contracts.

4. Data Ownership

All business and operational data entered into Warynx® remains the property of the customer. Warynx® does not claim ownership of:

Inventory data
Billing records
Customer or vendor records
Warehouse operational data

Customers are responsible for ensuring data accuracy.

5. Acceptable Use Policy

You agree not to:

Use the Service for illegal or unauthorized purposes
Attempt to reverse-engineer, copy, or exploit the platform
Disrupt system integrity or security
Upload malicious code or harmful content
Attempt unauthorized access to other accounts

Violation may result in immediate account suspension.

6. Intellectual Property

Warynx® and all related branding, logos, wordmarks, designs, software code, and platform content are the exclusive intellectual property of the Company.

No license or ownership rights are granted except for limited use of the platform during an active subscription. Unauthorized reproduction, modification, or distribution is strictly prohibited.

7. Service Availability

We aim to provide reliable and high-availability service. However:

Scheduled maintenance
Technical updates
Infrastructure issues
Force majeure events

may temporarily affect availability. We do not guarantee uninterrupted service at all times.

8. Limitation of Liability

To the maximum extent permitted by law, Warynx® shall not be liable for:

Indirect or consequential damages
Business losses or revenue loss
Data inaccuracies caused by user input
Operational decisions based on software reports

Total liability shall not exceed the subscription fees paid in the preceding billing period.

9. Termination

You may cancel your subscription at any time. Warynx® reserves the right to suspend or terminate accounts that:

Violate these Terms
Engage in abusive behavior
Attempt unauthorized system access

Upon termination, access to the Service will be revoked.

10. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of India. Any disputes shall be subject to the jurisdiction of courts located in India.

11. Modifications to Terms

We may update these Terms from time to time. Continued use of the Service after updates constitutes acceptance of revised Terms.
